Brief of Company Background

DSN was incorporated and established by Deed Of Establishment No. 279 dated, September 29, 1980. DSN acquired its status as a legal entity after having received approval as an Indonesian limited liability company domiciled in Jakarta by the Minister of Law and Human Rights of the Republic of Indonesia (MOLHR) pursuant to Approval No. Y. A. 5/496/21 dated September 21, 1981 which was announced in the State Gazette of the Republic of Indonesia Number 12 dated February 9, 1982, Supplement No. 180. DSN currently owns and manages its operating subsidiaries in the palm oil and wood products industries. As of December 31, 2012, The two largest shareholders are PT Triputra Investindo Arya and PT Khrisna Kapital Investama.We initially started operations as a logging and wood products manufacturing company. In the late 1990s, we diversified our operations to commence land acquisitions for our palm oil operations and commenced oil palm cultivation in 2001 and commercial production of CPO and PK 2002.Palm Oil BusinessThe following are selected key milestones achieved as part of our palm oil business and expansion strategy:* We established our first oil palm plantation subsidiaries, DIN and DAN, in March 1997. In the same year. DIN and DAN acquired 9,811 hectares and 9,955 hectares of land, respectively. Held under Ijin Lokasi in East Kalimantan. We commenced planting in these areas in 2005.* In July 1997, we established DIL, which acquired 11,557 hectares of land in East Kalimantan in 2009. As of December 31, 2012, we had not commenced planting on our land bank held by DIL.* Through the acquisition of SWA in January 2001, we acquired an additional 16,850 hectares of land in East Kalimantan, of which 6,589 hectares had already been planted since 1996. We have continued planting in this area since 2001.* In 2002, we began commercial production of CPO and PK at our first palm oil mill operated by SWA and located in East Kalimantan with an FFB processing capacity of 45 tons per hour. In 2006, we upgraded our mill operations and increased our capacity at this palm oil mill to 90 tons per hour.In 2004, we acquired 15,153 hectares of land in Central Kalimantan through the acquisition of PWP. We commenced planting in this area in 2007.In 2007, we acquired an additional 13,629 hectares of land in East Kalimantan through the acquisition of DWT. We commenced planting at our oil palm plantations operated by DWT in 2007.* In 2008 and 2009, we established KAP and DPS for the purpose of land acquisition in West Kalimantan, where we acquired 13,713 hectares of land in March 2010 and 4,500 hectares of land in April 2010.* To accommodate our expanding oil palm plantations and increasing production of FFB, we started construction of our second palm oil mill with an FFB processing capacity of 60 tons per hour in East Kalimantan in February 2009. We commenced commercial production of CPO and PK at this palm oil in August 2010.* In March 2010, we commenced construction of our third palm oil mill, with an FFB processing capacity of 60 tons per hour, in East Kalimantan and commenced operations in November 2011.* In April 2010, we acquired an additional 11,600 hectares of land in West Kalimantan through the acquisition of a majority interest in PSA.To increase our planted area in East Kalimantan, we acquired an additional 10,000 hectares of land, of which 2,639 hectares had been planted, through the acquisition of KPAS in November 2011.* In March 2011 and November 2011, we commenced construction of our fourth and fifth palm oil mills, each with an FFB processing capacity of 60 tons per hour in East Kalimantan and Central Kalimantan. We commenced commercial production of CPO at these palm oil mills in December 2012.* In January 2012, we acquired an additional 13,915 hectares of land in West Kalimantan through the acquisition of RUT.* In February 2012, we expanded our land bank in West Kalimantan by 15,000 hectares through the acquisition of MAL.* In February 2012, we established GUN, which purchases heavy equipment for our operations and leases such equipment to our plantation subsidiaries for use in oil palm plantations and palm oil mills.Wood Products BusinessThe following are selected key milestones achieved as part of our wood products business and expansion strategy:* We commenced logging operations in the 1980s with logging concessions granted by the Ministry of Forestry in East Kalimantan from 1985 to 2005, which were subsequently extended until 2050. In line with our move towards using plantation logs instead of natural forest logs, we ceased logging operations in 2009, relinquished our logging concessions and focused on the production of panel products such as lumber core, block board and plywood and value-added products such as engineered doors and engineered doors and engineered flooring.* We commenced our woodworking operations with the acquisition of our first wood processing plant located in Samarinda, East Kalimantan in 1983, with the production of high-quality swan timber for export to Japan.* In 1991, we completed construction of our wood processing plant located in Surabaya, East Java, relocated our operations at Samarinda, East Kalimantan to Surabaya, East Java.* We merged with PT Falcata Nusantara, a producer of lumber core in 1992. As a result of the merger, we acquired PT Falcata Nusantara’s wood processing plant located in Gresik, East Java and started our lumber core production operations.* In 1993, we sold our Samarinda processing plant and ceased the production of sawn timber.* We merged with PT Winusa Sawnmillindo, a producer of sawn timber in 1994.
