Brief of Company Background

PT Bank Maspion Indonesia Tbk (Bank Maspion; BMAS) was established based on Deed No. 68 dated November 6, 1989, amended by Deed No. 49 dated December 5, 1989, executed before Notary Soetjipto, S.H., in Surabaya. Upon receiving approval from the Minister of Finance of the Republic of Indonesia, Bank Maspion commenced commercial operations as a commercial bank on August 31, 1990. Following the decision made during the Extraordinary General Meeting of Shareholders (EGMS) on April 2, 2013, Bank Maspion changed its status to a public company and listed its shares on the Indonesia Stock Exchange since July 11, 2013. 

In 2017, Kasikornbank (KBank), one of the largest financial institutions in Thailand, became a strategic partner with a 9.99% share ownership. Through a successful collaboration, KBank, via its subsidiary KASIKORN Vision Financial Company PTE. LTD, acquired a 30.01% stake in Bank Maspion through a Conditional Sale and Purchase Agreement (CSPA) in 2022, thereby establishing the KBank Group as the majority shareholder with a total ownership of 40.0% of the bank's total shares. Utilizing the Rights Issue (Hak Memesan Efek Terlebih Dahulu / HMETD) at the end of 2022, KBank increased its ownership stake to 67.5%. 

In 2023, as part of efforts to enhance the bank's capabilities and performance, the KBank Group injected additional capital, raising its shareholding in Bank Maspion to 84.55% of the total shares of the bank. With over 70 years of experience in the banking industry and supported by a strategic network across Thailand, Vietnam, Laos, Cambodia, China, and Japan, KBank is committed to supporting Indonesia's economic growth by educating the market and offering more comprehensive financial solutions to meet the diverse needs of businesses and individuals in Indonesia. 

As of September 2023, Bank Maspion is backed by a network of 49 branches located in Surabaya, Jakarta, Semarang, Denpasar, Medan, Bandung, Makassar, Solo, Malang, Purwokerto, and Palembang. In line with the commitment to provide banking solutions that cater to customer needs, Bank Maspion has several delivery channels, including Mobile Cash Units, Payment Points, Cash Deposit Machines (CDM), Customer Relationship Management (CRM) units, and ATM with access to the Himbara LINK network. Bank Maspion is also supported by Maspion Electronic Banking (MEB), which includes Internet Banking, Mobile Banking, and Maspion Virtual Account services.
