Bank Negara Completes Roadshow for Selling, Pricing $500 Million Bonds


PT Bank Negara Indonesia (Persero) Tbk has completed the roadshow and pricing in connection with the plan to issue BNI tier 2 Capital Bonds 2021 amounting to US$500 million on March 23, 2021.

The company plans to use the proceeds from debt securities' issuance to meet financing and general funding needs. The global bonds have a coupon of about 3.75% per year.

"BNI plans to complete the issuance of debt securities within 5 days after pricing, namely March 30, 2021," said BNI's Corporate Secretary, Mucharon, Thursday (25/3).

The debt securities, if issued, are the company's first issuance under the Euro Medium Term Note (EMTN) program, which was formed on May 6, 2020, and renewed on March 22, 2021.

Under the EMTN program, the company can issue debt securities in stages with a principal amount of up to US$2 billion.

In connection with the issuance of debt securities and the renewal of the EMTN program, the company has signed transaction documents, namely the amended and restated trust deed with The Hongkong and Shanghai Banking Corporation as the trustee, on March 22, 2021. The agency agreement was amended and restated with the trustee, The Hongkong and Shanghai Banking Corporation Limited, the issuer and payer, transfer agent and registrar, and calculation agent on March 22, 2021.

Then, the order agreement between Citigroup Global Markets Limited and The Hongkong and Shanghai Banking Corporation Limited as manager on March 23, 2021, and additional prices on March 23, 2021.
